Terms and Conditions

1. Definitions and applicability
These terms apply to all quotes, work and agreements of MonkeysICT, unless otherwise agreed in writing.
2. Quotes and agreement
Quotes are non-binding unless stated otherwise. An agreement is formed upon written/digital confirmation.
3. Services
MonkeysICT provides, among other things, IT management, support, hosting-related work, web development and advisory services. Work is carried out on a best-efforts basis unless specific result obligations have been explicitly agreed.
4. Response times and support
Any response times (SLA) only apply if explicitly agreed in writing. Without an SLA, requests are handled within a reasonable period.
5. Client obligations
The client shall provide accurate information, access and cooperation in a timely manner. Delays or extra work caused by incomplete information may be charged separately.
6. Rates and payment
Rates exclude VAT unless stated otherwise. Invoices must be paid within 14 days, unless otherwise agreed in writing.
7. Additional work
Work outside the original scope is considered additional work and may be invoiced separately.
8. Availability and maintenance
Maintenance, updates and necessary security measures may temporarily affect availability. Where possible, this will be announced in advance.
9. Liability
The total liability of MonkeysICT is limited to the invoice amount of the relevant assignment (or the amount paid out under liability insurance, if higher), except in cases of intent or gross negligence.
MonkeysICT is not liable for indirect damages, consequential damages, loss of profit, data loss or damage caused by third parties, unless mandatory law provides otherwise.
10. Backups and security
Backups and security measures are carried out as agreed. The client remains jointly responsible for the timely verification of critical data and access.
11. Force majeure
In the event of force majeure (such as provider outages, internet failures, government measures), obligations are suspended for as long as the force majeure continues.
12. Intellectual property
All intellectual property rights to materials delivered by MonkeysICT remain with MonkeysICT or its licensors, unless otherwise agreed in writing.
13. Termination
Parties may terminate an agreement in writing in accordance with agreed notice periods. Work already performed and costs already incurred remain payable.
14. Governing law and disputes
Dutch law applies to all legal relationships. Disputes shall be submitted to the competent court in the Netherlands.
15. Final provision
If any provision is found to be void or voidable, the remaining provisions shall remain in full force.
